Terms of Service

Please read these Terms of Service ("Terms") carefully before using Biz Reputation. By creating an account or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that entity.
Biz Reputation, Inc.("Biz Reputation," "we," "us," or "our") is a Utah corporation headquartered at 136 South Main Street, Suite 400, Salt Lake City, Utah 84101.
1. Definitions
- "Service" — The Biz Reputation SaaS platform, website (bizreputations.com), APIs, and all related features including reputation management, review automation, lead generation outreach, and Google Business Profile management.
- "Client" / "you" — The business or individual that subscribes to and uses the Service.
- "End Customer" — A consumer who is a customer of a Client and who may receive review request communications through the Service.
- "Client Data" — Data submitted to or generated through the Service by the Client, including business information, End Customer contact lists, review content, and Google Business Profile data.
- "AI-Generated Content"— Text, responses, or copy produced or suggested by Biz Reputation's AI features.
- "Subscription" — A recurring paid plan granting access to the Service.
2. Account Registration and Eligibility
To use the Service you must:
- Be at least 18 years old and legally capable of entering binding contracts.
- Provide accurate, current, and complete registration information and keep it updated.
- Operate a legitimate business and use the Service solely for lawful, business purposes.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
One account is permitted per business location unless you subscribe to a multi-location plan. You may not share account credentials with individuals outside your organization.
3. Subscriptions, Billing, and Cancellation
3.1 Subscription Plans
Biz Reputation offers monthly and annual subscription plans as described on our Pricing page. Features available to you depend on your selected plan. We reserve the right to change plan pricing or features upon at least 30 days' written notice to existing subscribers.
3.2 Billing
- Subscriptions are billed in advance on a recurring basis (monthly or annually) via Stripe.
- By providing payment information, you authorize Biz Reputation to charge your payment method automatically at the start of each billing period.
- All fees are in U.S. dollars and are exclusive of applicable taxes (e.g., sales tax, VAT, GST), which will be added to your invoice where required by law.
- Failed payments: if a payment fails, we will retry up to three times over seven days. If payment is not received, your account may be suspended until the balance is settled.
3.3 Free Trials
Where offered, free trials are available to new customers only. At the end of a trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We will send a reminder email at least 48 hours before the trial expires.
3.4 Cancellation
- You may cancel your subscription at any time through your account settings or by emailing [email protected].
- Cancellation takes effect at the end of the current billing period. You will retain access to the Service through that date.
- We do not provide prorated refunds for partial billing periods, except as required by applicable law or at our sole discretion.
3.5 Refund Policy
Monthly subscriptions: no refunds after the billing date for the current period. Annual subscriptions: if you cancel within 14 days of initial purchase (not renewal), you may request a prorated refund for the unused portion. Contact [email protected] with your request.
4. Acceptable Use Policy
4.1 Prohibited Conduct — Review Integrity
Biz Reputation is committed to honest, authentic reputation management. You may NOT:
- Solicit, post, incentivize, or otherwise facilitate fake, fabricated, or misleading reviews on Google or any other platform.
- Use Biz Reputation to suppress or discourage genuine negative reviews through deceptive means (e.g., filtering review requests to only satisfied customers in a way that violates Google's review policies or the FTC's guidelines on endorsements).
- Purchase, sell, or trade reviews in violation of applicable platform terms or the FTC's Endorsement Guides (16 C.F.R. Part 255).
- Use AI-generated responses in a way that impersonates a real person or deceives End Customers about the nature of the communication.
4.2 Prohibited Conduct — Communications & Spam
- You may not send review request messages to any individual who has not had a genuine business transaction with your company or who has opted out of such communications.
- All review request SMS messages must comply with the Telephone Consumer Protection Act (TCPA), including obtaining proper prior express written consent where required.
- All review request emails must comply with the CAN-SPAM Act, including a valid physical mailing address and a functioning opt-out mechanism.
- Outreach campaigns (lead generation) must not be used to send unsolicited commercial messages in bulk ("spam") and must comply with CAN-SPAM and any applicable state anti-spam laws.
- You may not use the Service to send messages that are harassing, threatening, defamatory, or otherwise unlawful.
4.3 Prohibited Conduct — Platform Integrity
- Attempt to gain unauthorized access to Biz Reputation systems, other Clients' accounts, or Biz Reputation's APIs.
- Use automated scripts, bots, or scraping tools against bizreputations.com except as expressly permitted in writing.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein.
- Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent.
4.4 Compliance Responsibility
You are solely responsible for ensuring that your use of the Service — including the content of all review requests and outreach messages — complies with all applicable federal, state, and local laws and with the terms of service of any third-party platforms (including Google). Biz Reputation is a tool; we are not responsible for your compliance with those laws.
5. Data Ownership and License
5.1 You own your Client Data. Biz Reputation does not claim ownership of any Client Data you submit to the Service. Your business information, your customer lists, your review content, and your Google Business Profile data remain yours.
5.2 License to Biz Reputation. You grant Biz Reputation a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and transmit Client Data solely for the purpose of providing and improving the Service to you. We do not use your data to train AI models or for any purpose unrelated to your account.
5.3 Data portability. You may export your Client Data at any time through the dashboard. Upon request following account cancellation, we will provide a data export within 30 days.
5.4 Google Business Profile data.Your GBP data is obtained through Google's API under the access you authorize. Both you and Biz Reputation are bound by Google's API Terms of Service and the Google Business Profile policies. Biz Reputation's use of Google data is further described in our Privacy Policy.
5.5 End Customer data responsibility. You represent and warrant that you have the right to submit End Customer contact information to Biz Reputation, that all required consents for review request messaging have been obtained, and that your use of End Customer data complies with applicable law.
6. AI-Generated Content Disclaimer
Biz Reputation uses large language models (including Anthropic Claude via OpenRouter) to generate suggested review responses, outreach email copy, and other content.
- AI content may be inaccurate. AI models can produce content that is factually incorrect, incomplete, biased, or inappropriate for your specific context. Biz Reputation makes no warranty that AI-generated content is accurate, suitable, or fit for any particular purpose.
- Human review is required. You must review all AI-generated content before publishing or sending it. Publishing AI-generated review responses under your business name constitutes your adoption of that content, and you assume full responsibility for it.
- No legal or professional advice. AI-generated content does not constitute legal, medical, financial, or other professional advice.
- FTC disclosure. If AI-generated content constitutes a testimonial, endorsement, or material connection disclosure under FTC guidelines, you are solely responsible for ensuring appropriate disclosures are made.
7. Google Business Profile Integration
Use of Biz Reputation's Google Business Profile features is subject to Google's Terms of Service and the Google Business Profile policies. Biz Reputation is an independent service provider and is not affiliated with, endorsed by, or sponsored by Google LLC.
You are responsible for ensuring your Google Business Profile complies with Google's policies. Biz Reputation will not be liable for any actions Google takes against your profile, including suspension, removal of reviews, or penalties resulting from your use of the Service.
8. Intellectual Property
Biz Reputation and its licensors own all right, title, and interest in and to the Service, including all software, trademarks, trade names, logos, and content that are not Client Data. These Terms do not grant you any ownership rights in the Service.
You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service during the term of your Subscription solely for your internal business purposes.
"Biz Reputation" and the Biz Reputation logo are trademarks of Biz Reputation, Inc. You may not use our trademarks without prior written consent.
9. Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REPVAULT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE.
REPVAULT DOES NOT GUARANTEE ANY IMPROVEMENT IN YOUR BUSINESS'S REVIEW RATING, SEARCH RANKING, OR REVENUE AS A RESULT OF USING THE SERVICE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(A) Exclusion of Consequential Damages. IN NO EVENT SHALL REPVAULT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF REPVAULT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) Cap on Direct Damages.REPVAULT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO REPVAULT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100.00).
(C) Essential Basis. THE PARTIES ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
11. Indemnification
You agree to defend, indemnify, and hold harmless Biz Reputation, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service or violation of these Terms;
- Any review request or outreach message you send through the Service, including claims under the TCPA, CAN-SPAM, or state anti-spam laws;
- Your violation of any third-party rights, including intellectual property rights;
- Your violation of Google's Terms of Service or any applicable law in connection with your use of the Google Business Profile integration; or
- Any false or misleading content you publish or send using AI-generated features.
12. Term and Termination
These Terms commence on the date you create your account and continue until your Subscription is terminated.
By you: You may cancel your Subscription as described in Section 3.4.
By Biz Reputation: We may suspend or terminate your account, with or without notice, if:
- You breach these Terms or our Acceptable Use Policy;
- You fail to pay fees when due;
- We reasonably believe your use poses a legal, regulatory, or reputational risk to Biz Reputation or third parties; or
- We are required to do so by law or court order.
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 5, 6, 9, 10, 11, 13, 14, and 15) will survive.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution. Before initiating any formal proceeding, the parties agree to attempt to resolve disputes informally by contacting [email protected]. We will try to resolve the dispute within 30 days of receiving notice.
13.2 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Salt Lake City, Utah, or by video conference at the election of the consumer party where the amount in controversy is under $10,000.
13.3 Class Action Waiver. YOU AND REPVAULT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
13.4 Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent unauthorized access to or use of the Service.
13.5 Arbitration Opt-Out. You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration. Opting out will not affect any other provision of these Terms.
14. Governing Law and Venue
These Terms and any dispute arising hereunder are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the federal and state courts located in Salt Lake County, Utah.
15. General Provisions
15.1 Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Biz Reputation regarding the Service and supersede all prior agreements and understandings.
15.2 Modifications. We may modify these Terms by posting an updated version on bizreputations.com and notifying you via email at least 30 days before changes take effect for material changes. Your continued use of the Service after the effective date constitutes acceptance.
15.3 Severability. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
15.4 No Waiver.Biz Reputation's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
15.5 Assignment.You may not assign or transfer these Terms without Biz Reputation's prior written consent. Biz Reputation may assign these Terms in connection with a merger, acquisition, or sale of assets.
15.6 Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, pandemics, or internet infrastructure failures.
15.7 Notices. Legal notices to Biz Reputation must be sent in writing to 136 South Main Street, Suite 400, Salt Lake City, Utah 84101, or by email to [email protected]. We will provide notices to you at the email address on file with your account.
15.8 Relationship of the Parties. These Terms do not create any employment, agency, partnership, or joint venture relationship between you and Biz Reputation.
